Terms of Service

1. Acceptance of Terms

By accessing or using BrokerDost (the "Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. The Service is operated by NBY Tech Solutions LLP, an LLP registered in Gujarat, India (GSTIN 24AATFN1092N1ZP).

2. Description of Service

BrokerDost is a SaaS platform for Indian real estate brokers. Features include AI-powered lead qualification on WhatsApp, voice agents (where available), inventory management, content generation, site-visit coordination, RERA compliance scanning, and broker-to-broker inventory sharing.

3. Eligibility & Accounts

• You must be at least 18 years old and legally able to enter into contracts
• You must be a licensed real estate broker or property professional, or be authorized to act on behalf of one
• Each account must represent a single legal entity; sharing of credentials with non-employees is prohibited
• You are responsible for all activity under your account
• You must provide accurate registration details including a valid RERA number where applicable

4. Subscriptions & Payments

• Subscription plans are charged monthly or annually in advance via Razorpay
• All amounts are in Indian Rupees (INR) and inclusive of GST where applicable
• You authorize NBY Tech Solutions LLP to charge your payment method for recurring fees until cancellation
• Plan changes (upgrade/downgrade) take effect on the next billing cycle
• Refund eligibility is governed by our Refund Policy
• Failure to pay may result in suspension or termination of access

5. Acceptable Use

You agree NOT to:

• Use the Service to send spam, unsolicited messages, or content violating TRAI/DPDP regulations
• Upload property listings you do not have authority to market
• Misrepresent RERA registration status or amenities
• Reverse-engineer, scrape, or attempt to extract proprietary data
• Resell or sublicense the Service without prior written consent
• Use the Service for any illegal activity including money laundering or fraud
• Interfere with the Service's security or performance

6. Intellectual Property

The Service, including its software, design, branding, AI prompts, and documentation, is owned by NBYtech LLP. You retain ownership of the data and content you upload. By using the Service you grant us a non-exclusive, worldwide license to process your content solely to provide the Service to you.

7. AI-Generated Content

BrokerDost uses third-party large language models (Anthropic, OpenAI, Xiaomi MiMo, and others) to generate text, images, voice, and matching recommendations. You agree to:

• Review all AI-generated content for accuracy before sending to clients
• Not rely on AI-generated content as legal, financial, or compliance advice
• Bear responsibility for content you publish or send via the Service

We use a RERA Compliance Shield to flag potential violations, but ultimate compliance responsibility rests with the user.

8. Data, Privacy & Compliance

Use of the Service is also governed by our Privacy Policy. Both parties agree to comply with the Digital Personal Data Protection Act 2023, RERA, TRAI DND/DLT framework, and applicable GST regulations.

9. Disclaimers

The Service is provided "as is" without warranties of any kind. We do not warrant uninterrupted availability, error-free operation, or that AI-generated content is accurate, complete, or fit for any specific purpose. RERA, GST, and tax interpretations require qualified professional advice.

10. Limitation of Liability

To the maximum extent permitted by law, NBY Tech Solutions LLP's total liability for any claim arising from or related to the Service is limited to the fees paid by you to NBY Tech Solutions LLP in the 12 months preceding the claim. We are not liable for indirect, incidental, consequential, or special damages.

11. Termination

You may cancel your subscription anytime from your account settings or by contacting ashish@nebex.in. We may suspend or terminate your account for material breach of these terms, non-payment, or as required by law. On termination you may export your data within 30 days; thereafter we may delete it.

12. Governing Law & Disputes

These terms are governed by the laws of India. Any dispute will be subject to the exclusive jurisdiction of the courts of Ahmedabad, Gujarat. Parties will first attempt mediation in good faith for 30 days before initiating litigation.

13. Changes to These Terms

We may update these Terms with at least 14 days' notice via email and an in-app banner. Continued use after the effective date constitutes acceptance.
